These Terms govern your access to and use of the Engis platform. They form a legally binding agreement between you (and your organisation) and Engis. Please read carefully before using the Service.
1Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the Engis platform ("Service"), operated by Engis ("we", "us", or "our"). By registering an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
These Terms constitute a legally binding agreement between you (and, where applicable, your organisation) and Engis. Please read them carefully before using the Service.
2Account Registration
Access to Engis is by invitation only. Accounts are created when a firm administrator adds a team member to their workspace. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
- You must provide accurate and complete information when your account is created.
- You must notify us immediately of any unauthorised access to your account.
- You must not share your account credentials with any other person.
- You must be at least 18 years of age to use the Service.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
3Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service in any way that violates applicable Australian or international laws or regulations.
- Transmit any material that is defamatory, offensive, or otherwise objectionable.
- Attempt to gain unauthorised access to any part of the Service or its related systems.
- Introduce any viruses, trojans, or other malicious or technologically harmful material.
- Use the Service to transmit unsolicited commercial communications.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Scrape, crawl, or extract data from the Service by automated means without our written consent.
- Use the Service to compete with Engis or to build a substantially similar product.
4Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Engis and its licensors. The Engis name, logo, and all related marks are trademarks of Engis. Nothing in these Terms grants you any right to use our trademarks, logos, or other proprietary information without our prior written consent.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes in accordance with these Terms.
5Data Ownership
Your data belongs to you. All project data, documents, timesheets, financial records, and other content that your firm uploads or generates through the Service ("Customer Data") remains the property of your firm.
You grant Engis a limited licence to store, process, and display your Customer Data solely for the purpose of providing the Service to you. We do not claim ownership over your Customer Data and will not sell, share, or use it for any purpose other than operating the Service.
Upon termination of your subscription, you may request an export of your Customer Data within 30 days. After this period, we may delete your data from our systems in accordance with our data retention policy.
6Subscription and Payment
Access to certain features of the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by Australian consumer law.
- All fees are stated in Australian Dollars (AUD) and are inclusive of GST where applicable.
- We reserve the right to change our pricing with 30 days' notice.
- Failure to pay fees may result in suspension or termination of your access.
- Payment processing is handled by Stripe. By providing payment details, you agree to Stripe's terms of service.
7Service Availability
We aim to provide the Service with 99.5% uptime, excluding planned maintenance windows. We will endeavour to provide advance notice of any planned maintenance that is likely to affect your use of the Service.
We do not guarantee that the Service will be uninterrupted, error-free, or free from harmful components. We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice.
8Limitation of Liability
To the maximum extent permitted by law, Engis and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.
Our total liability to you for any claims arising under these Terms will not exceed the greater of: (a) the total fees paid by you to Engis in the 12 months preceding the claim; or (b) AUD $500.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the Australian Consumer Law, including liability for death or personal injury caused by our negligence.
9Indemnification
You agree to indemnify and hold harmless Engis and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with your use of the Service or your violation of these Terms.
10Termination
Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Service. We may terminate or suspend your access immediately, without prior notice or liability, if you breach any provision of these Terms.
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including data ownership, intellectual property, limitation of liability, and governing law.
11Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by email or via a notice within the Service. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
12Governing Law and Dispute Resolution
These Terms are governed by the laws of New South Wales, Australia. Any dispute arising from or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
Before commencing legal proceedings, both parties agree to attempt to resolve any dispute by good-faith negotiation for a period of at least 30 days.
